7. Intellectual-Property Ownership
All site software, UI, compilations, dashboards, charts, documentation and trademarks are the exclusive property of Taydle or its licensors. 9. Availability & Modifications
We may modify, suspend or discontinue any feature (including specific datasets) at any time. Where practicable we will give reasonable notice.
Fair Usage Policy. Our Service is designed for reasonable, human-operated use. To maintain platform stability while ensuring every customer has reliable access, we apply technical and administrative limits—such as request-rate thresholds, concurrent-session caps, data-export quotas and other safeguards. Excessive, automated, bulk or abusive activity that degrades the Service or circumvents these limits is prohibited. We may throttle, suspend or terminate access for accounts whose usage, in our sole judgment, exceeds fair use or otherwise threatens the integrity or availability of the Service.
10. Disclaimer of Warranties
To the fullest extent permitted by law, Taydle disclaims all warranties, express or implied, including accuracy, fitness for a particular purpose, merchantability, non-infringement and uninterrupted availability. Data and analytics are informational only and do not constitute legal, financial or compliance advice.
11. Limitation of Liability
To the maximum extent permitted by law:
- Indirect damages excluded. Taydle shall not be liable for any lost profits, lost business, loss of data, or indirect, special, consequential or punitive damages, even if advised of the possibility.
- Liability cap. Taydle’s total cumulative liability arising out of or relating to the Service shall not exceed the greater of (a) SGD 1 or (b) the fees you paid to Taydle in the preceding 12 months.
12. Indemnification
You agree to indemnify and hold harmless Taydle, its officers, employees and affiliates from any claim, loss or expense (including reasonable attorneys’ fees) arising out of (i) your misuse of the Service or data, (ii) violation of these Terms, or (iii) infringement or violation of law by your Content or actions.
13. Termination
Taydle may suspend or terminate access immediately (a) for material breach, (b) to comply with law, or (c) where continued use poses security or legal risk. On termination, licences cease, and you must delete all non-public data in your possession, except archival copies required for audit/legal purposes.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Any dispute shall be resolved exclusively by the courts located in Singapore, except that Taydle may seek injunctive relief in any jurisdiction to protect its intellectual property or confidential information.
15. Export & Sanctions Compliance
You will not use, export or re-export any data or software in violation of U.S. or other applicable export-control or sanctions regulations.
